Welcome to Sharp Talk! These Terms & Conditions ("Terms") govern your access to and use of the Sharp Talk mobile application ("App") and website located at sharptalk.app ("Website"), operated by Sharp Talk ("we," "our," or "us").

By accessing or using our App or Website, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use our services.

1. Accounts and Registration

To use certain features of the App, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Promptly notify us at support@sharptalk.app if you discover or suspect any security breaches related to your account.

2. Licensing and Permitted Use

We grant you a personal, non-transferable, non-exclusive, revocable, limited license to install and use the App on your mobile device for your personal, non-commercial education and entertainment usage, subject to compliance with these Terms.

You agree not to: copy, modify, distribute, sell, or lease any part of our services or software; reverse engineer or attempt to extract the source code of that software; or use automated scrapers to extract curriculum data from the App.

3. Subscriptions and Payments

Certain features and curriculum materials within the App are premium services requiring a subscription ("Premium Subscription").

• Billing: Premium Subscriptions are billed on a recurring monthly or annual basis. Payments are handled via Google Play Billing or iOS App Store Billing (managed by RevenueCat).
• Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
• Cancellations: You can manage and cancel your subscription anytime via your device's subscription management settings (Google Play Store Account or iOS Apple ID Settings).
• Refunds: All purchases are final and non-refundable. Refund queries must be routed to the respective store operators (Google or Apple).

4. User Voice Input and Conduct

You may submit audio voice recordings via our "Pronunciation Lab" feature. You retain ownership of your voice data. However, you grant us a worldwide, royalty-free license to temporarily process the voice data for the purpose of grading your speaking performance and generating learning statistics.

You agree not to use the voice recording feature to transmit any material that is offensive, harmful, defamatory, or violates any laws.

5. Intellectual Property

The App, Website, and all original contents, including but not limited to the curriculums, lesson designs, quizzes, gamified modes, graphics, sound assets, and software code, are the exclusive property of Sharp Talk and are protected by copyright, trademark, and other laws.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHARP TALK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to conflict of law principles.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days' notice prior to any new terms taking effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
